Lottomatica and CIRSA aiming for a 2027 completion date following board approval for merger

The boards of Lottomatica Group and CIRSA Enterprises have approved a joint merger plan under which Lottomatica would absorb CIRSA, with completion targeted for 2027.

The boards of Lottomatica Group and CIRSA Enterprises have approved a common merger plan under which Lottomatica would absorb CIRSA, with the two companies targeting a 2027 completion date. The plan formalises the combination first announced on 2 September 2026.

According to Lottomatica, CIRSA would cease to exist as a separate legal entity without going through liquidation, while the absorbing company would acquire all of CIRSA's assets and assume its liabilities and other legal relationships. The combined group is targeting annual revenues above €4.5bn ($5.03bn) and a €744m ($831.43m) shareholder capital return following completion.

The companies envisage about €115m in annual pre-tax cash synergies from operating and interest cost savings, expected to be realised by the third full year after completion. Blackstone and key CIRSA management holding shares have undertaken to vote in favour of the combination. CIRSA owns 450 gaming venues, more than 85,000 gaming machines and around 2,300 sports betting points.
